Welcome to Binga Properties. These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "User," "Tenant," or "Property Owner"), and Binga Properties PVT LTD (registered at the Ministry of Economic Development, Transport & Trade, Republic of Maldives), operating as "Binga" or "Binga Properties" ("we," "us," or "our").
By accessing our website (binga.mv), engaging with our agents, or utilizing our real estate matchmaking and concierge services, you agree that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree, you are expressly prohibited from using our services.
1. Description of Services
Binga Properties acts as a premium real estate concierge and matchmaking service operating in Greater Malé and Hulhumalé. We facilitate connections between property owners and prospective residential or commercial tenants, and we structure tenancy documentation in accordance with the Residential Tenancy Act (Law No. 21/2021) where applicable.
We do not own the properties listed, nor do we act as a property management company after the execution of a lease, unless a separate, specific property management agreement is signed.
2. Regulatory Framework
Our services and the tenancy agreements we facilitate are governed by, and structured in compliance with, the laws of the Republic of Maldives, including:
- The Residential Tenancy Act (Law No. 21/2021), which regulates residential tenancies, prescribes the rights and obligations of landlords and tenants, sets minimum property standards, governs security deposits and rent adjustments, and establishes a dispute-resolution mechanism. The Act applies to private residential rentals and social housing, but does not apply to tourism-related properties.
- The Electronic Transactions Act (Law No. 18/2014), governing the validity of electronic contracts and signatures.
- The Consumer Protection Act (Law No. 1/2020).
- The Prevention of Money Laundering and Financing of Terrorism Act (Law No. 10/2014).
- The Tax Administration Act (Law No. 3/2010) and related MIRA regulations.
Where the property in question is a tourism-related property excluded from the Residential Tenancy Act, the engagement is governed by the relevant tourism-leasing law and the parties' negotiated contract.
3. User Obligations & KYC Compliance
To utilize our services, you must provide accurate, current, and complete information.
- For Tenants
- You agree to provide valid identification (Maldivian National ID or Expatriate Passport / Visa) and accurate financial / employment information to facilitate our vetting process and the disclosures required for a compliant tenancy under the Residential Tenancy Act.
- For Property Owners
- You agree to provide accurate proof of ownership, legal right to lease the property, and truthful representations regarding the property's condition, including any matters required to be disclosed to a tenant under the Residential Tenancy Act.
Failure to provide accurate information violates these Terms and may result in the immediate termination of our services. All data is handled in accordance with our Privacy Policy and Maldivian law.
4. Terms for Property Owners (Landlords)
By allowing Binga Properties to represent your property, you agree to the following:
- The "Zero-Risk" Fee Structure
- Binga Properties operates on a success-fee basis. We do not charge upfront marketing or registration fees. The applicable success fee — and any management, retainer, or service-tier fees — are agreed with you in writing before any work begins and are recorded on the engagement letter or term sheet.
- Fees Vary by Engagement
- Our fees depend on the nature of the transaction (sale, residential rental, commercial rental, corporate housing) and the agreed level of concierge service. We will provide a clear, itemised quote on a per-engagement basis. No fee is payable until expressly agreed in writing.
- Payment Trigger
- The agreed success fee becomes strictly payable immediately upon the successful execution of a tenancy or sale agreement between you and a counterparty introduced by Binga, and the clearing of the initial rent, deposit, or purchase-price payment, in accordance with the engagement letter.
- Non-Circumvention
- You agree not to bypass, circumvent, or attempt to exclude Binga Properties from a transaction involving a counterparty that was originally introduced, vetted, or brought for a viewing by our agents.
- Property Standards & Disclosure
- You are solely responsible for ensuring the property meets the minimum standards prescribed by the Residential Tenancy Act and any applicable building, health, and safety regulations, and that all material facts regarding the property's condition are disclosed to prospective tenants or buyers.
- Tenancy Agreement & Security Deposit
- The tenancy agreement that we prepare or facilitate will reflect the rights, obligations, deposit limits, rent-adjustment rules, and termination notice requirements set out in the Residential Tenancy Act. You agree to handle security deposits, refunds, and deductions in accordance with the Act.
5. Terms for Tenants & Corporate Clients
By utilizing our Tenant Concierge services, you agree to the following:
- Tenant Concierge Service Tiers
- We offer multiple tiers of buyer / renter concierge service, ranging from a curated public-market shortlist to full off-market access with personal viewing concierge. The applicable fee depends on the tier you select and the scope of your search (residential, commercial, sale, or rental). The current fee for each tier will be quoted to you in writing before you commit, and any concierge fee paid is non-refundable, regardless of whether a tenancy or sale agreement is ultimately signed.
- Corporate Concierge
- Our B2B corporate housing service is generally provided at no cost to the corporate entity, as our fees are recovered from the property owners. Where additional bespoke services are requested, fees are quoted and agreed in writing in advance.
- Right of Refusal
- Binga Properties and the respective property owners reserve the right to refuse a tenancy application based on the results of our vetting process, financial-capability checks, or owner preferences, subject to the non-discrimination principles embedded in Maldivian law.
- Your Rights as a Tenant
- Where you enter into a residential tenancy facilitated by Binga, your rights and obligations as a tenant — including those relating to security deposits, repairs, rent increases, quiet enjoyment, and termination — are governed by the Residential Tenancy Act (Law No. 21/2021).
- No Guarantee of Lease
- While we strive to find your perfect match, paying any concierge fee does not guarantee that a specific landlord will approve your application.
6. Intellectual Property Rights
Unless otherwise indicated, the Site (binga.mv) and all source code, databases, functionality, software, website designs, audio, video, text, photographs, logos, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by Binga Properties PVT LTD. They are protected by copyright and trademark laws.
You may not reproduce, distribute, or commercially exploit any part of our website, brand name, or property listings without our express written permission.
7. Prohibited Activities
As a user of our services, you agree not to:
- Systematically retrieve data or listings from our site to create a competing collection, database, or directory.
- Trick, defraud, or mislead us or other users — including any attempt to bypass our commission structure or circumvent the Residential Tenancy Act.
- Use our services to advertise or offer to sell goods and services not related to our real estate matchmaking.
- Use any information obtained from our services to harass, abuse, or harm another person (including our agents, landlords, or tenants).
8. Disclaimers and Limitation of Liability
- Brokerage Disclaimer
- Binga Properties acts solely as an intermediary (matchmaker) between property owners and tenants. We are not a party to the tenancy agreement signed between the Landlord and the Tenant, and we are not liable for the performance of either party's obligations under that agreement or the Residential Tenancy Act.
- Limitation of Liability
- To the fullest extent permitted by the laws of the Maldives, Binga Properties PVT LTD, our directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from any breach of contract or dispute between a Tenant and a Property Owner after the tenancy is signed; hidden defects, damages, or legal encumbrances related to a property; or default on rent payments or damages caused by a tenant.
Your use of our services is at your sole risk. We present properties and tenant profiles based on the information provided to us, but we do not issue warranties or guarantees regarding the long-term behavior of tenants or the structural integrity of properties.
9. Dispute Resolution
The parties shall first attempt to resolve any dispute, controversy, or claim arising out of or relating to these Terms — or the breach thereof — amicably through good-faith negotiations.
If amicable resolution is not reached, and the dispute concerns a residential tenancy facilitated by Binga, it shall be referred to the dispute-resolution mechanism established under the Residential Tenancy Act (Law No. 21/2021), including the Tenancy Dispute Resolution Committee (or its successor body), before any court proceedings are commenced.
All other disputes, and any disputes that remain unresolved after exhausting the above mechanism, shall be subject to the exclusive jurisdiction of the courts of the Maldives.
10. Governing Law
These Terms and your use of our services shall be governed by and construed in accordance with the laws of the Republic of Maldives, without regard to its conflict-of-law principles.
11. Modifications to the Terms
We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Service at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Terms. It is your responsibility to periodically review these Terms to stay informed of updates.
